Cruise Software Firm MXP to Join True Wind-Backed Deep Wave Group

Cruise software specialist MarineXchange joins True Wind Capital-backed Deep Wave, keeping its brand and leadership while adding analytics, AI and hosting services.

MarineXchange, the Austria-based technology supplier to the global cruise industry, has signed a definitive agreement to join Deep Wave Maritime Technologies Group, an international group of specialist maritime software companies backed by San Francisco-based private equity firm True Wind Capital.

The deal consolidates one of the cruise sector's most entrenched software vendors into a broader maritime technology portfolio. MXP will keep operating under its own brand, according to a company statement, but joining the group will let it broaden the services it offers customers — adding hosting and monitoring, data analytics, AI initiatives and project management to its existing product set.

For cruise lines and the sellers of travel who depend on MXP's systems, the immediate message from management is continuity. Founder Hannes Lindthaler will stay on as co-managing director and will become a shareholder in Deep Wave once the transaction closes.

"Over the past 20 years, we have built MXP into a trusted technology partner for the global cruise industry. We are taking this step from a position of strength," Lindthaler said in the statement.

"With Deep Wave, we have found a partner that shares our long-term perspective, our entrepreneurial mindset and, above all, our commitment to our customers. I will continue my active leadership role at MXP and become a shareholder in Deep Wave. I am fully committed to the company, our customers and this next chapter."

The C-suite stays intact. Chief Executive Officer Michael Eder, who took the role in July, remains in place, alongside Chief Financial Officer Mathias Klein and Chief Technology Officer Philipp Grasmug.

Eder framed the transaction as additive rather than disruptive. The fundamentals for customers stay the same — same people, same products, same focus on cruise — with the objective, he said, of making an already strong MXP even stronger.

Deep Wave's leadership cast the acquisition as a quality play. "MXP is one of the maritime software industry's highest-quality businesses, with an outstanding reputation and deep expertise in the cruise sector," said Mark Rogerson, chair of Deep Wave. "Its strong customer relationships, mission-critical technology and experienced team make MXP a natural fit for Deep Wave. We look forward to supporting the company's continued innovation and international growth while preserving the qualities that have made MXP so successful."

No financial terms were disclosed. MXP said the transaction remains subject to customary regulatory clearances, which leaves the closing timeline open.

The move fits a wider pattern of private equity consolidation across cruise and maritime technology, where platform vendors with mission-critical installations are being rolled into larger groups that can cross-sell analytics, hosting and AI capabilities across a shared customer base. For MXP's cruise-line clients, the practical test will be whether Deep Wave's backing accelerates product development — starting with the newly promised analytics and AI services — without unsettling two decades of established relationships.
