Lufthansa Pays €1.2 Billion for 44.9% of TAP, Beating Air France-KLM by 16%
Lufthansa will pay €1.2 billion ($1.3 billion) for 44.9% of TAP Air Portugal, beating Air France-KLM's bid by 16% while Portugal keeps 50.1% control of the carrier.
Itinerary
- Lufthansa pays €1.2 billion ($1.3 billion) for a 44.9% non-controlling stake in TAP Air Portugal.
- PM Luís Montenegro said the winning bid exceeded Air France-KLM's offer by 16%.
- The Portuguese state retains 50.1%; 5% is reserved for employees.
- TAP serves 14 Brazilian cities nonstop, with a 15th starting October 2026.
- Lufthansa Technik's northern Portugal facility, groundbreaking June, is expected to create up to 700 jobs by 2028.
Lufthansa Group will pay €1.2 billion ($1.3 billion) for a 44.9% stake in TAP Air Portugal, outbidding Air France-KLM by 16% in the privatization contest for the Portuguese flag carrier. Prime Minister Luís Montenegro disclosed the margin when announcing the winner.
The structure leaves the Portuguese state firmly in control. Lisbon retains 50.1%, and 5% goes to employees. The deal still requires regulatory approval before it closes.
For travel sellers, the significance lies in what TAP's network adds to Lufthansa's portfolio — and what Air France-KLM failed to secure.
What does Lufthansa actually get?
TAP's core asset is Brazil. The carrier flies nonstop to 14 Brazilian cities, including secondary markets no other European airline serves directly. A 15th destination begins in October 2026.
TAP also connects Lisbon to Angola, Cape Verde, Senegal, and Mozambique — a lusophone and African footprint that none of Lufthansa's existing hubs replicate.
The German group already operates hubs in Frankfurt, Munich, Zurich, Vienna, Brussels, and Rome, following its investment in Italy's ITA Airways. TAP extends that consolidation push into the South Atlantic, the one corridor where its network was thin.
Takeaway: Lufthansa bought a Brazil gateway it could not build organically.
Why did Air France-KLM lose?
Air France-KLM structured a bid with clear commercial appeal. It promised to make Lisbon its sole Southern European hub. It also carried a public endorsement from Delta CEO Ed Bastian, including a commitment to begin codeshare and loyalty talks if the Franco-Dutch group won.
Price decided it. Montenegro said the Lufthansa offer exceeded the rival bid by 16% — roughly €165 million on a €1.2 billion transaction.
Portugal also weighed factors beyond price, including commitments to TAP's national identity, Lisbon's hub role, and skilled employment. Lufthansa entered the final round with an existing industrial presence: its Lufthansa Technik maintenance facility in northern Portugal broke ground in June and is expected to create up to 700 jobs when it opens in 2028.
Takeaway: Delta's endorsement and a hub promise could not offset a 16% price gap.
What changes for alliance and joint-venture economics?
TAP belongs to Star Alliance but sits outside the immunized transatlantic joint venture that links Lufthansa, United, and Air Canada. Bringing TAP into that venture would require separate regulatory consideration — meaning the revenue synergies sellers care about, such as coordinated pricing and loyalty integration across the Atlantic, are not automatic.
Until that happens, Lufthansa holds a minority financial position plus network influence, while Portugal controls the carrier's strategic decisions with its 50.1% share.
Takeaway: the deal is a financial foothold first; joint-venture integration is a separate, later fight.
The transaction ends a two-way contest between Europe's largest airline groups for one of the continent's last independent flag carriers — and, pending regulatory clearance, positions Lufthansa as the leading consolidator of European aviation.
